1. Introduction

These Terms and Conditions (“Terms”) govern the provision and use of services supplied by Sheriff Brain Digital (“we”, “us”, Our”), including custom website design, website hosting, maintenance, automated review request systems, SMS and email messaging tools, and related automation infrastructure (the “Services”).

By engaging our Services, creating an account, making payment, submitting data, or otherwise using the Services, you (“Client”, “you”, “your”) agree to be legally bound by these Terms in full. Use of the Services constitutes acceptance of these Terms whether or not a formal agreement has been signed.

We are committed to delivering our Services in a professional, secure, and compliant manner while supporting our Clients in doing the same.

2. Nature of Services

Sheriff Brain Digital provides technology, custom website builds, hosted web infrastructure, and automation systems designed to enable businesses to establish an online presence and communicate with their customers efficiently.

All websites provided under our Services are fully managed, hosted, and maintained by us as a subscription-based software service. We act as a technology provider and Data Processor. While we provide systems built with compliance in mind, we do not control the origin, content, or legality of Client data or communications, nor do we provide legal or regulatory advice.

3. Client Responsibilities

The Client agrees to use the Services responsibly and in full compliance with all applicable laws, including the UK General Data Protection Regulation (UK GDPR) and the Privacy and Electronic Communications Regulations (PECR).

The Client must ensure that all personal data used within the Services has been collected lawfully, that individuals have been appropriately informed, and that any required lawful basis or consent is in place. All communications must include a clear and effective opt-out mechanism.

The Client remains responsible for the content, timing, frequency, and recipients of all communications sent using the Services, as well as any raw text, branding logos, or business images provided to us for display on the hosted website.

4. Data Submission, Authority and Consent

By providing personal data to Sheriff Brain Digital, the Client confirms that it has the necessary authority to do so and that such data has been collected and is processed in accordance with applicable data protection laws.

The Client confirms that individuals have been informed their data may be used for communications such as review requests and may be processed via third-party systems.

Sheriff Brain Digital processes such data solely on the Client’s instructions and relies on the accuracy and legality of the information provided.

5. Data Protection Roles

For the purposes of UK GDPR, the Client acts as the Data Controller and Sheriff Brain Digital acts as the Data Processor.

We process personal data only as required to deliver the Services, implement appropriate technical and organisational safeguards, and assist with data-related requests where reasonably possible.

We are committed to handling all data securely and in accordance with applicable data protection laws.

6. Responsible Use of Services

We are committed to maintaining the integrity and reliability of our platform and hosted network. As such, we reserve the right to suspend or restrict use of the Services—including taking down hosted websites—where activity is deemed unlawful, abusive, or likely to result in complaints, regulatory scrutiny, or reputational harm.

7. Fees, Payment and Website Continuity

Fees are billed on a recurring monthly subscription framework agreed in advance and must be paid in accordance with agreed terms. Payments are non-refundable unless otherwise agreed in writing.

Because your monthly fee covers active website hosting, server maintenance, and operational automations, continuous payment is strictly required to keep your assets live online. Failure to make payment will result in the automatic suspension of Services and the immediate deactivation/take-down of your website.

We aim to be fair and transparent in all billing matters and will communicate clearly regarding any changes.

8. Intellectual Property and Website Rental Model

All systems, software, workflows, automations, custom graphics, backend coding, website designs, layouts, and digital architectures developed, built, or hosted by Sheriff Brain Digital remain our exclusive intellectual property.

* The Website Rental Framework: The Client explicitly acknowledges that they are purchasing a licence to use the website and integrated automations on a recurring rental basis. No ownership of the website, its design, files, or underlying code shifts to the Client.

* Restrictions: The Client is granted a non-exclusive, non-transferable licence to use the website and Services solely for the duration of their active, paid engagement. The Client does not have the right to download, copy, migrate, or transfer the website structure, files, code, or design layouts to any external hosting provider, registrar, or alternative platform.

* Client Content: The Client retains ownership of their original text, corporate logos, and raw photographic assets provided to us for insertion into the site.

9. Service Availability

We aim to provide a reliable and high-quality service; however, we do not guarantee uninterrupted or error-free operation of hosted websites or automation nodes.

We are not responsible for website downtime, SMS delivery delays, or network outages caused by third-party infrastructure providers (such as data centres, cloud hosts, mobile networks, or email platform components), though we will make reasonable efforts to mitigate disruption.

10. Limitation of Liability

To the fullest extent permitted by law, Sheriff Brain Digital shall not be liable for any indirect or consequential losses, including loss of business, revenue, search engine rankings, or company reputation.

We are not responsible for regulatory consequences arising from the Client’s use of the Services, including where communications are sent without appropriate lawful basis or where website content violates local trade regulations.

Our total liability in connection with the Services shall not exceed the total amount paid by the Client for the Services during the single month immediately preceding the event giving rise to liability.

Nothing in these Terms excludes liability where it would be unlawful to do so.

11. Indemnity

The Client agrees to indemnify and hold harmless Sheriff Brain Digital against any claims, losses, damages, or regulatory actions arising from the Client’s use of the Services, including any copyright disputes regarding images provided by the Client or any failure to comply with applicable data protection or communications laws.

12. Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the course of the engagement, except where disclosure is required by law.

13. Termination and Website Cessation

Either party may terminate the Services at any time, subject to any explicitly agreed notice periods.

Upon termination of the subscription service by either party:

* The Client's licence to use our infrastructure terminates instantly.

* The custom website and all attached automations will be permanently taken down and removed from our active servers.

* We are under no obligation to package, transfer, or export design configurations, site architecture, or setup frameworks to the Client or any third party.

We reserve the right to suspend or terminate Services immediately without notice where there is a material breach of these Terms or where continued use presents structural, legal, or regulatory risk.

14. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions, contracts, options, or representations.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.
